Terms of Service

1. Acceptance of Terms

By accessing or using the VorexAI platform, website (https://vorexai.tech), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and VorexAI ("we," "our," or "us"). You must be at least 18 years old and have the authority to bind any business entity on whose behalf you use the Service.

2. Description of Service

VorexAI provides an AI-powered business platform for local businesses, including:

• Website generation: AI-powered creation and hosting of professional business websites.
• AI Receptionist: automated phone answering, appointment booking, and call management via voice AI.
• Marketing tools: email campaigns, SMS marketing, and AI-generated social media post scheduling for Facebook, Instagram, and Google Business Profile.
• Reputation management: aggregation of reviews from Google and Yelp, and AI-assisted reply drafting.
• Analytics: performance dashboards tracking call volume, marketing campaign results, and website metrics.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To access the Service, you must create an account with a valid email address and password. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Notify us immediately at legal@vorexai.tech of any unauthorized access to your account.
• Accept responsibility for all activity occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription, Billing, and Payment

4.1 Plans and Fees

The Service is offered on a subscription basis. Pricing and features for each plan are described on our pricing page. Fees are charged in advance for each billing cycle.

4.2 Free Trial

Where offered, free trials are provided for new accounts only. Upon expiry of the trial, your account will be charged the applicable subscription fee unless you cancel before the trial ends.

4.3 Payment Processing

Payments are processed securely by Stripe. By providing payment information, you authorize us and Stripe to charge the applicable fees. You are responsible for ensuring your payment information remains current and accurate.

4.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us within 30 days at legal@vorexai.tech.

4.5 Cancellation

You may cancel your subscription at any time via your dashboard under Billing settings or by contacting us. Cancellation takes effect at the end of the current billing period. Access to the Service continues until the end of the period you have paid for.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and third-party platform policies. You must not:

• Use the Service to send spam, unsolicited messages, or communications that violate the CAN-SPAM Act, TCPA, or similar laws.
• Publish or distribute content that is defamatory, obscene, fraudulent, or infringes any third-party rights.
• Attempt to gain unauthorized access to any systems, networks, or data.
• Use the Service to engage in any activity that violates Meta Platform Terms, Google API Services Terms of Service, or any other applicable third-party terms.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts to access the Service in a way that creates an unreasonable burden on our infrastructure.
• Impersonate any person, business, or entity.
• Use the Service to generate or distribute misleading, deceptive, or false information.

We reserve the right to investigate and take appropriate action for violations, including suspension or termination of your account.

6. Third-Party Platform Integrations

6.1 Meta (Facebook and Instagram)

The Service integrates with Facebook and Instagram via Meta's Platform APIs. By connecting your Facebook or Instagram account, you agree to comply with Meta's Terms of Service and Meta Platform Terms. You represent that:

• You own or have authorization to manage the Facebook Pages and Instagram Business Accounts you connect.
• Content you publish through VorexAI complies with Meta's Community Standards and advertising policies.
• You will not use the integration to post prohibited content including spam, misleading information, or content that violates Meta's policies.

6.2 Google

The Service integrates with Google Business Profile. By connecting your Google account, you agree to comply with Google's Terms of Service and Google APIs Terms of Service. You represent that:

• You own or are an authorized manager of the Google Business Profile listings you connect.
• Replies you post to reviews via VorexAI are truthful, non-deceptive, and comply with Google's review policies.

6.3 Disclaimer Regarding Third Parties

VorexAI is not affiliated with, endorsed by, or sponsored by Meta, Google, or any other third-party platform. Those platforms may change their APIs, policies, or terms at any time, which could impact the availability of integrations. We are not liable for any disruption caused by third-party platform changes.

7. AI-Generated Content

The Service uses artificial intelligence to generate website content, marketing copy, and social media posts. You acknowledge that:

• AI-generated content is provided as a starting point and should be reviewed before publishing. You are solely responsible for any content you publish through the Service.
• We do not guarantee that AI-generated content is accurate, complete, or free from errors.
• You must not publish AI-generated content that violates applicable laws, platform policies, or third-party rights.

8. AI Receptionist and Telephone Communications

The AI Receptionist feature makes and receives telephone calls and sends SMS messages on your behalf. By enabling this feature, you represent that:

• You have obtained all necessary consents from callers as required by applicable law, including the TCPA and any applicable state telemarketing laws.
• You will disclose to callers that they may be interacting with an AI system where required by law.
• You will use the AI Receptionist only for legitimate business communications.

You indemnify VorexAI against any claims arising from your use of the AI Receptionist in violation of applicable law.

9. Intellectual Property

9.1 Our Property

The VorexAI platform, software, branding, and technology are owned by VorexAI and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

9.2 Your Content

You retain ownership of all content you provide to the Service (your business information, logos, images, and text). You grant VorexAI a limited, non-exclusive, worldwide license to use, store, and process your content solely to deliver the Service to you.

9.3 Generated Websites

Websites generated by the Service for your business are yours to use for the duration of your active subscription. Upon cancellation, you may request an export of your website content.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We do not guarantee any specific business outcomes, revenue, leads, or results from using the Service. AI-generated content and recommendations are provided for informational purposes only.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOREXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless VorexAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable law.

14. Termination

VorexAI may suspend or terminate your account at any time for material violation of these Terms, non-payment of fees, or if required by law, with or without notice depending on the severity of the violation. You may terminate your account at any time by canceling your subscription and requesting deletion of your account.

Upon termination, your access to the Service will cease. Sections 9, 11, 12, 13, and 16 of these Terms survive termination.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
